Il recesso dalle società lucrative di capitali a dieci anni dalla riforma (di Carlo Granelli)


Prima della riforma del diritto delle società di capitali del 2003, l’opinione corrente era nel senso che il legislatore del ‘42 avesse inteso privilegiare vigorosamente l’interesse all’integrità del patrimonio sociale a scapito del contrapposto interesse del singolo socio ad uscire dalla compagine sociale a fronte del rimborso della propria partecipazione: interesse, quest’ultimo, che avrebbe potuto costituire una minaccia per l’assetto patrimoniale e finanziario della società, se non addirittura per la sua stessa sopravvivenza; con la conseguenza che, per oltre mezzo secolo, il recesso ha avuto, nella prassi societaria italiana, un rilievo del tutto marginale. La riforma del 2003 ha rivoluzionato il precedente quadro normativo, ricercando un punto di equilibrio radicalmente diverso rispetto al passato fra, da un lato, l’interesse del socio a non rimanere prigioniero della società e, da altro lato, quello della società a non vedersi privata delle risorse necessarie allo svolgimento della propria attività (e quello convergente dei terzi, in particolare dei creditori, che con la società sono venuti o verranno in contatto a non veder depauperato quel patrimonio che costituisce la loro garanzia prima). Ciò induce a verificare in che misura sia stata in concreto recepita, con riferimento allo specifico tema del diritto di recesso del socio, la ricorrente indicazione metodologica di carattere generale, secondo cui l’armamentario interpretativo elaborato nel vigore del sistema previgente non potrebbe più essere utilizzato per risolvere i numerosi problemi sollevati dalle nuove disposizioni, i quali debbono essere affrontati facendo ricorso a schemi concettuali nuovi. In quest’ottica, l’A. ricostruisce, in particolare, l’atteggiamento assunto dagli interpreti di fronte alla possibilità, espressamente dischiusa dalla riforma, dell’introduzione per via statutaria di cause di recesso c.d. “convenzionali”, diverse ed ulteriori rispetto a quelle previste ex lege. Al riguardo – analizzando, in particolare, le posizioni emerse in dottrina relativamente alle clausole di recesso ad nutum e di quelle in cui il recesso risulta comunque non ancorato a presupposti specifici e predeterminati – l’A. esprime l’impressione che le soluzioni restrittive, variamente prospettate dalla dottrina accademica in ordine ai limiti cui sarebbe assoggettata l’autonomia statutaria nel prevedere ipotesi convenzionali di recesso da società lucrative, non siano che l’espressione delle difficoltà incontrate nel superare impostazioni concettuali maturate con riferimento all’originario impianto codicistico e, correlativamente, nel prendere atto di quel “vero e proprio revirement legislativo, che ribalta l’impostazione del sistema previgente”.

The withdrawal from the profit joint-stock companies ten years after the reform

Before the legislative reform of 2003 concerning joint stock companies, the opinion was that the legislator of 1942 intended to strongly prefer the interest to the integrity of the company asset rather than the contrary interest of the single member to leave the company with the reimburse of its share: this last interest could constitute a threat for the patrimonial and financial structure of the company, if not even for its survival, with the consequence that, for more than half a century, the withdrawal has had, in the Italian praxis related to companies, a very much marginal role. The reform of 2003 signed a revolution in the previous normative framework, with the aim of finding a balance radically different from the past between, on one hand, the interest of the member not to become prisoner of the company and, on the other hand, that of the company not to be left without the resources needed to continue its activity (and that convergent of third parties, especially creditors, who have already come or who will come into contact with the company, not to see diminished the assets that constitutes their primary guarantee). Taken into account all of the above, it is needed to verify in which way the recurrent general methodological indication, according to which the interpretative system built during the previous period of time cannot still be used to solve the numerous issues brought by the new dispositions, and, together with this, the need to face them with new conceptual schemes, has been concretely implemented with reference to the specific theme of the member’s right to withdraw. With this perspective, the Author retraces, in particular, the approach of the interpreters towards the possibility, expressly stated in the reform, to introduce through the statute causes of withdrawal which are “conventional” and, hence, different and other than the ones provided by law. Analysing, in particular, the opinions of the doctrine on the clauses establishing withdrawal ad nutum and the ones addressing the withdrawal without specific and predetermined requirements, the Author conveys the impression that the restrictive solutions, which have been suggested by the scholars regarding limits of the statutory autonomy arising from provisions of conventional situations of withdrawal from profit companies, are only the expression of the difficulties met in the process of overcoming conceptual frameworks born with reference to the original structure provided by the Code and, at the same time, in becoming aware of a “true legislative revirement that reverses the structure of the previous system”.
