Good Faith and Reasonableness in European Contract Law (di Emanuela Navarretta)


The article analyses the figures of good faith and reasonableness in European law, with special reference to the law of contracts. The meaning of the categories is explored, as well as the relation between the two. The essay investigates how the application of the principles of reasonableness and good faith has evolved during time, how the two general clauses are employed by the European legislator and comments the use of general clauses and open norms in European harmonization politics. Finally, it also explores the question of social justice achieved through and with the cooperation of contract law.

Buona fede e ragionevolezza nel diritto europeo dei contratti

L'articolo analizza l’uso dei canoni della buona fede e della ragionevolezza nel diritto europeo, con particolare riferimento al diritto dei contratti. Dopo una spiegazione delle categorie della ragionevolezza e della buona fede, l’Autrice commenta la relazione tra le due clausole generali. Nel saggio, viene tracciata un’evoluzione dell’applicazione della ragionevolezza e della buona fede da parte della giurisprudenza e del legislatore europeo, e viene commentato l'utilizzo delle clausole generali nel contesto della politica di armonizzazione europea. Infine, é affrontata la questione della giustizia sociale nel diritto europeo, ed il ruolo che le clausole generali, specialmente nel diritto dei contratti, rivestono nell’assicurare tali istanze di giustizia.
